Company Overview

Pertamina has strong commitment to providing energy and developing new and renewable energy in order to sustain the national energy security and self-sufficiency. As a holding company in energy sector officially announced by the Indonesian Ministry of SOEs on June 12th, 2020, Pertamina now plays a strategic role in leading its six Sub-holdings which includes Upstream Subholding whose operation is placed under PT Pertamina Hulu Energi, Gas Subholding which is operated under PT Pertamina Gas Negara, Refinery & Petrochemical Subholding which is operated under PT Kilang Pertamina Internasional, Power & NRE Subholding managed under PT Pertamina Power Indonesia, Commercial & Trading Subholding operated under PT Patra Niaga, as well as Integrated Marine Logistics Subholding operated under PT Pertamina International Shipping.

The new role of Pertamina is indeed a landmark in the Company’s business milestone as well as represents the concrete contribution from Pertamina that for six decades has been committed to ensuring the energy availability, which has energized every sector of life in Indonesia and many places abroad.

Pertamina’s excellent competence is built upon a solid fundamental and a long history of the company’s experience in realizing the vision of building a national energy security. The history said that Pertamina has built its existence since 1950s, when Government of Republic of Indonesia appointed the National Army to establish PT Eksploitasi Tambang Minyak Sumatera Utara to undertake a responsibility for running an oil field management in Sumatera. Then the company changed its name into PT Perusahaan Minyak Nasional, abbreviated PERMINA, on December 10th, 1957, the date which is later on celebrated as Pertamina’s anniversary.

In 1960, PT Permina embraced a new status of being a State Company (PN) Permina. Then, PN Permina was merged with PN Pertamin to establish PN Pertambangan Minyak dan Gas Bumi Negara (Pertamina) on August 20th,1968.

Then, Pertamina received a mandate as regulated under Law No.8 of 1971, which confirmed the company’s role of producing and processing the oil and gas from oil fields and taking responsibility of ensuring the availability of fuel and gas across Indonesia. Then, as referred in Law No.22 of 2001, Government determined a new status of Pertamina, thus the Public Service Obligation (PSO) was exercised through business activities.

Pursuant to Government Regulation No.31 of 2003 dated 18 June 2003, Perusahaan Pertambangan Minyak dan Gas Bumi Negara changed its name into PT Pertamina (Persero) which runs an integrated oil and gas business, from upstream to downstream. PT Pertamina (Persero) was established on September 17th, 2003, pursuant to the Notarial Deed No.20 of 2003. On December 10th, 2005, Pertamina decided to choose arrow to replace sea horse as its new logo with basic colors: green, blue and red, reflecting the dynamic yet environmental-care spirit.

Then on July 20th, 2006, PT Pertamina (Persero) initiated a fundamental transformation, including the businesses, through the launch of new corporate vision, “to be a world-class national oil company “

Later on, on December 10th, 2007, Pertamina through PT Pertamina International EP carved an important momentum by completing an acquisition over 72.65% shares of a French oil and gas company, Maurel et Prom (M&P).

In 2011, Pertamina launched a vision “to be a world-class national energy company”. In an EGMS held on July 19th, 2012, Pertamina executed an additional issued and paid-up capital and made a business expansion.

On December 14th, 2015, Minister of State Enterprises in a GMS gave consent to the amendment of Pertamina’s Articles of Association in regard to optimization of human resources, increase in issued and subscribed capital by the state as well as actions by Board of Directors that required written approval from Board of Commissioners. Such amendment was stated in a Deed Number 10 dated 11 January 2016 by Notary Lenny Janis Ishak, SH.

In 2017, Pertamina was one step closer to the realization of its vision to be the world-class national energy company following the successful acquisition over Maurel et Prom (M&P). Following the successful acquisition, as of February 1st, 2017, through its subsidiary, PT Pertamina International EP, Pertamina sat as the majority shareholder in M&P with 72.65% ownership. As the majority shareholder in M&P, Pertamina will be able to operate in 12 countries in four continents.

Even after six decades of evolution, Pertamina always reaffirms its solid commitment to continue transforming to build a strong foundation for its vision accomplishment to be a world-class energy company, which has a flexible, agile, aggressive, adaptive and focused organization to support the further business expansion. With a new structure, Pertamina is ready to anticipate future dynamic in the years ahead and is optimistic to always create new growth opportunities through investments and business optimalization, which will provide more rooms for Pertamina to grow bigger as the expectations of the shareholders and other stakeholders.

History

History of Pertamina

1957

On December 10th, 1957, the company changed its name into PT Perusahaan Minyak Nasional, abbreviated PERMINA. This date is now celebrated as the anniversary date of Pertamina. In 960, PT Permina again changes its status into Perusahaan Negara (PN) Permina. PN Permina was then merged with PN Pertamin to be PN Pertambangan Minyak dan Gas Bumi Negara (Pertamina) on August 20th, 1968.

1971

Later on, through Law No.8 of the year of 1971, government introduced the new role of Pertamina, namely to produce and process the oil and gas from oil fields as well as to ensure the availability of fuel and gas in Indonesia. Then through Law No.22 of 2001, government changed the status of Pertamina, thus the Public Service Obligation (PSO) was served through business activites.

2003

Pursuant to Government Regulation No.31 of 2003 dated 18 June 2003, Perusahaan Pertambangan Minyak dan Gas Bumi Negara changed its name into PT Pertamina (Persero) that operated in Upstream and Downstream Oil and Gas Sectors. 2006

On July 20th, 2006, PT Pertamina (Persero) launched fundamental and business transformation. PT Pertamina (Persero) then on December 10th, 2007 changed its vision, “To be World-Class National Oil Company”. In 2011, Pertamina reaffirmed its commitment through a new vision, namely “To be Class National Energy Company “. In EGMS on July 19th, 2012, Pertamina successfully executed additional issued and paid-up capital and expanded the business.

2015

On December 14th, 2015, Minister of SOEs in a GMS gave approval to the amendment of Pertamina’s Articles of Association, regarding the optimum utilization of resources, addition of issued and paid-up capital by the state and actions taken by Board of Directors which required written approval from Board of Commissioners. Such amendment was stated in a Deed Number 10 dated 11 January 2016, by Notary Lenny Janis Ishak, SH.

2016

On November 24th, 2016, through the Decree of Minister of State of Enterprises No. S-690/MBU/11/2016, Minister of SOEs in a GMS gave approval to the amendment of Pertamina’s Articles of Association, regarding change in composition of Board of Directors and Board of Commissioners, scope of authorities of President Director, delegation of duties sand authorities among Board of Directors, attendance at the joint meeting between President Director and Board of Commissioners.

2018

In 2018, PT Perusahaan Gas Negara (PGN) was promoted to be Gas Sub Holding of Pertamina. The establishment of Gas Sub Holding represented the further step in transformation agenda of consolidating gas businesses run by SOEs, i.e. to consolidate gas businesses of Pertamina and PGN, as well as was a concrete implementation of the roadmap of establishing State Holding in Oil and Gas.

2020

On June 22nd, 2020, Pertamina experienced structural transformation following the determination of new role of Pertamina by Ministry of State of Enterprises of Republic of Indonesia as Energy Holding Company with 6 Subholdings, i.e. Upstream Subholding led by PT Pertamina Hulu Energi, Gas Subholding run by PT Perusahaan Gas Negara, Refinery & Petrochemical Subholding run by PT Kilang Pertamina Internasional, Power & NRE Sub holding run by PT Pertamina Power Indonesia, Commercial & Trading Subholding led by PT Patra Niaga, and Integrated Marine Logistics Subholding operated under PT Pertamina International Shipping.

Ir. Simon Aloysius Mantiri, S.T., M.B.A., who comes from Kamasi Tomohon, is appointed as President Commissioner and Independent Commissioner of PT Pertamina (Persero), based on the Decree of the Ministry of State-Owned Enterprises at the General Meeting of Shareholders of PT Pertamina (Persero) Number SK-128/MBU/06/2024 on June 10, 2024.Simon is a graduate of the School of Business and Management from Institut Teknologi Bandung (ITB). He also served as Director of PT Nusantara Energy and Finance Director of PT Agro Industri.

Heru Pambudi was born in Bondowoso, East Java, in 1970. Appointed as Commissioner of Pertamina since July 2nd, 2021, based on the Decree of the Minister of State-Owned Enterprises No. SK-222/MBU/07/2021. He got his Bachelor of Management Economics from University of Indonesia and Master from the University of Newcastle Upon Tyne, England.Heru started his career as a Civil Servant in the Directorate of Verification, Directorate General of Customs and Excise of Ministry of Finance in 1992. His career continued by occupying a strategic position in the scope of Customs and Excise. Until 2015 he was appointed as General Director of Customs and Excise of the Ministry of Finance until 2021. In March 2021, he served as General Secretary of the Ministry of Finance of the Republic of Indonesia.

Bambang Suswantono was appointed as Commissioner of PT Pertamina (Persero), based on the Decree of the Minister of State-Owned Enterprises as PT Pertamina (Persero) General Meeting of Shareholders No. SK-263/MBU/09/2023 issued on September 22, 2023.He is a retired Indonesian Navy officer who has served as Inspector General of the Ministry of Energy and Mineral Resources since July 31, 2023. Previously, Bambang served as the 20th Inspector General of the Indonesian National Armed Forces (TNI) (2020-2023), Commander General of the TNI Academy (2020), Assistant to the Maritime Potential (Aspotmar) of the Navy (2018-2020), Marine Corps (2017-2018), and Commander of the Presidential Security Forces (2016-2017).Bambang is an alumnus of the Indonesian Navy Academy (AAL) class-XXXII/year 1987. In addition, he got his Bachelor of Laws, Master of Laws, and Master of Applied Defense.

Condro Kirono, was born in Surakarta, Central Java, in 1961. He is appointed as an Independent Commissioner of PT Pertamina (Persero) based on the Decree of the Ministry of State-Owned Enterprises at the General Meeting of Shareholders of PT Pertamina (Persero) SK-128/MBU/06/2024 on June 10, 2024.A graduate of the Police Academy in 1984, he is a retired high-ranking officer of the Indonesian National Police (Polri) who, throughout his service, has held various strategic positions.Previously, Condro has served as Commissioner of PT Pos Indonesia (2021), Board of Commissioners of PT Pertamina (Persero) (2019), Chief Policy Analyst of Baharkam Polri (2019), Chief of Indonesian National Police Security Maintenance Agency/Baharkam Polri (2019), Chief of Central Java Regional Police (2016), Chief of Traffic Corps Polri (2014), Chief of Riau Regional Police (2013), Chief of Operations Bureau Polri (2010), Director of Traffic Polda Metro Jaya (2008), Director of Traffic Polda East Java (2007), Director of Traffic Polda South Kalimantan (2006), Chief of Yogyakarta City Police Polda DIY (2004), Deputy Director of Traffic Polda North Sumatra (2003), and Chief of Tegal City Police Polda Central Java (2002).

Alexander Lay got his Bachelor of Laws from Universitas Atmajaya in 2003, after studying in Institut Teknologi Bandung, majoring in Petroleum Engineering. In 2006, he obtained his Master of Laws (LL.M.) from the University of Sydney.He was born in Ende, Flores, in 1973. He served as the Supervisory Board in Transparency International Indonesia and was an advocate for business competition law and commercial dispute resolution.

Ahmad Fikri Assegaf was born in Jakarta in 1968. He is appointed as Commissioner of PT Pertamina (Persero) based on the Decree of the Ministry of State-Owned Enterprises Number SK-222/MBU/07/2021 on July 2, 2021.He completed his Bachelor of Law in University of Indonesia and Master of Law in Cornell Law School.According to the Asia Business Law Journal, he became one of Indonesia’s top 100 lawyers in 2020, and he has served as Commissioner of PT Telkomunikasi Indonesia (Persero).

Iggi H Achsien was born in Indramayu in 1977. He is appointed as Commissioner of PT Pertamina (Persero) based on the Decree of the Ministry of State Owned Enterprises Number SK-222/MBU/07/2021 on July 2, 2021. He completed Masters Degree in Global Leadership Executive MBA at Institut Teknologi Bandung (ITB) School of Business Management and Aalto University, Finland after previously got his Bachelor of Economics from Universitas Indonesia.Iggi was experienced in the financial industry, especially in the field of Islamic banking. He has served as board of commissioner in several companies. Currently, Iggi is an Indonesia Vice President’s Expert Staff. In early 2021, he became the General Secretary of Masyarakat Ekonomi Syariah (MES) for 2021-2023.

She was once trusted as the Director of Human Resources at PT Pertamina (Persero).

Alfian Nasution serves as the Director of Logistics & Infrastructure at PT Pertamina (Persero), based on Decree Number: SK Menteri BUMN No SK-122/MBU/06/2023 dated June 16, 2023, regarding the Transfer of Duties and Appointment of Members of PT Pertamina's Board of Directors.Alfian Nasution has an educational background in Mechanical Engineering from the University of Indonesia. He has had a long career in Pertamina, primarily in the fields of marketing and shipping. Previously, he held the position of President Director of PT Pertamina Patra Niaga and Director of Marketing at PT Pertamina International Shipping.

Salyadi Saputra was appointed as Director of Strategy, Portfolio, and New Ventures of PT Pertamina (Persero) according to No. SK-199/MBU/09/2022 on (September 19, 2022) about Dismissal and Appointment of Members of the Board of Directors of PT Pertamina (Persero).He earned his Bachelor of Economics from Universitas Indonesia in 1993. He started his career as assistant researcher (Accounting) in Universitas Indonesia and Consultation Division in Amir Abadi Jusuf Public Accounting Firm (1993-1995). He was experienced in loan marketing in multifinance company (Daichi Kangyo Panin) in Jakarta (1995 - 2000).He was also assigned as the president director of PT Pemeringkat Efek Indonesia (PEFINDO) since May 2015, and Managing Director of PT Henan Putihrai Asset Management from 2014 to 2015.

Ahmad Siddik Badruddin serves as Director of Risk Management of PT Pertamina (Persero) based on the Decree of the Minister of State-Owned Enterprises No. SK-25/MBU/01/2024 on January 31, 2024, regarding the Appointment of Members of the Board of Directors of PT Pertamina (Persero).He got his Master degree from McCombs School of Business - The University of Texas in Austin and Bachelor degree of Chemical Engineering - The University of Texas in Austin. He had career in risk management field, Ahmad Siddik Badruddin previously served as Director of Risk Management, Bank Mandiri (2018-2024) and Director of Risk Management & Compliance, Bank Mandiri (2015 – 2018).
